JTH Davies Holdings, Inc. (JTH) was originally incorporated on June 28, 1946 as Theo H. Davies & Co., Far East Ltd., a Philippine branch office of Theo H. Davies & Co., Ltd., a Hawaiian corporation. In 1973, James Matheson & Co. of Hong Kong acquired the Hawaiian parent, and in 1974, the name of the Philippine branch office was changed to Jardine Davies, Inc. As Jardine Davies, the company used to engage in a range of activities such as the distribution of agri-chemical products, construction supplies and middle income housing through former wholly owned units, subsidiaries and affiliates.
After undergoing an internal reorganization, the company amended its primary purpose in October 2004 from wholesale distribution to that of a holding company. The Securities and Exchange Commission subsequently approved the change in the company's corporate name to JTH Davies Holdings, Inc. During the internal reorganization, certain assets of JTH were transferred to its subsidiaries. At present, JTH still has inactive subsidiaries that are all under the dissolution process.
In December 2006, Jardine Matheson Europe B.V., the principal stockholder of JTH, sold 95.55% of its shares in JTH to Philippine Racing Club, Inc. (PRCI). PRCI reported that the transaction would allow it to have a separate vehicle to develop PRCI's Makati property to its full potential.
In March 2010, PRCI, the principal stockholder of JTH, sold its 210,636.433 shares in JTH to Capital Managers and Advisors, Inc.
